1) Overview & Acceptance

These Terms of Use (“Terms”) govern your access to and use of the websites, forms, content, quotes, product information, online features, and services operated by LED Lights Unlimited, LLC (“LED Lights Unlimited,” “we,” “us,” or “our”), including any pages that link to these Terms (collectively, the “Site”).

By accessing or using the Site, submitting a form, requesting a quote, placing an order, communicating with us, or clicking to accept these Terms where that option is presented, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

LED Lights Unlimited provides commercial, industrial, and contractor-grade LED lighting products, poles, brackets, mounting accessories, and outdoor LED digital display signs. Product information on the Site is for general business and informational purposes only.

3) Eligibility & Geographic Scope

You must be at least 18 years old to use the Site or submit an inquiry. The Site is directed primarily to users and businesses located in the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

4) Relationship to Our Privacy Policy

Our Privacy Policy explains how we collect, use, disclose, and safeguard personal information, including contact forms, phone calls, SMS/text messages, emails, cookies, and analytics. By using the Site, you consent to our data practices described in our Privacy Policy.

5) Informational Nature; No Professional Advice

LED Lights Unlimited does not provide electrical engineering, architectural, legal, tax, or code-compliance advice. Customers, contractors, electricians, installers, and property owners are responsible for confirming that products, installation methods, permits, electrical requirements, mounting methods, and local code requirements are suitable for their specific project.

Always consult a licensed electrician, engineer, contractor, inspector, or other qualified professional when required.

6) Products, Quotes & Third-Party Services

We may sell, quote, recommend, or provide information about LED lighting products, poles, brackets, controls, mounting hardware, outdoor LED digital signs, and related accessories.

Product specifications, availability, prices, lead times, shipping costs, and warranty terms may change without notice. A quote does not guarantee product availability unless confirmed in writing.

We may also work with or refer customers to third-party freight carriers, installers, electricians, manufacturers, suppliers, or service providers. These third parties are independent from LED Lights Unlimited. We do not control their actions, delays, pricing, workmanship, licensing, insurance, or compliance.

You are responsible for evaluating any third-party provider and confirming that they meet your project requirements.

7) Contractor, Wholesale & Business Accounts

From time to time, the Site may include information about contractor pricing, wholesale pricing, VIP pricing, bulk discounts, credit terms, Net 30 options, or business accounts.

Any such pricing, discount, or credit arrangement is subject to approval by LED Lights Unlimited and may require additional documentation, credit review, purchase history, or separate written agreement.

We reserve the right to approve, deny, modify, or discontinue contractor, wholesale, or credit terms at any time.

8) Acceptable Use

You agree not to:

Use the Site for unlawful, fraudulent, misleading, or harmful purposes;
Impersonate any person or business or misrepresent your affiliation;
Interfere with or disrupt the Site, including through malware, scraping, bots, DDoS attacks, or excessive requests;
Attempt unauthorized access to the Site, customer accounts, systems, servers, or data;
Copy, scrape, download, or monitor the Site using robots, crawlers, spiders, or similar tools without our prior written consent;
Upload or transmit content that is defamatory, obscene, harassing, infringing, misleading, or otherwise objectionable;
Reverse engineer, decompile, or attempt to derive source code from the Site except to the limited extent permitted by law.

We may suspend or terminate access to the Site for violations of these Terms.

9) Accounts & Credentials

If account features are enabled, you are responsible for maintaining the confidentiality of your username, password, and account credentials. You are responsible for all activity under your account.

Notify us promptly if you believe your account has been accessed without authorization. We may change, suspend, or discontinue account features at any time.

10) User Content; Feedback

If you submit reviews, comments, quote requests, project details, product photos, messages, files, testimonials, or other content (“User Content”), you grant LED Lights Unlimited a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and create derivative works from such content solely to operate, improve, market, and provide our products and services.

Do not submit content that you do not have the right to share. You are responsible for ensuring that any information, images, drawings, plans, or project details you submit are accurate and lawfully provided.

11) Communications; SMS, Email & Call Consent

By providing your phone number, email address, or other contact information, you consent to receive service-related and marketing communications from LED Lights Unlimited, including phone calls, emails, SMS/text messages, and MMS messages.

Message and data rates may apply. Messaging frequency may vary. You may opt out of marketing text messages at any time by replying STOP. For help, reply HELP. For marketing emails, you may use the unsubscribe link where available.

We may record or monitor phone calls for training, quality assurance, order verification, customer support, and dispute resolution, where permitted by law.

12) Intellectual Property

The Site, including text, graphics, logos, icons, images, product descriptions, videos, catalogs, data, designs, layout, software, and other content, is owned by or licensed to LED Lights Unlimited and is protected by U.S. and international intellectual property laws.

Except for limited personal or business use in connection with evaluating or purchasing our products, no license is granted to copy, reproduce, modify, distribute, sell, or exploit any part of the Site without our prior written permission.

All trademarks, service marks, product names, and logos are the property of their respective owners.

13) Third-Party Links & Tools

The Site may include links to third-party websites, payment processors, financing providers, freight carriers, manufacturers, product documents, design tools, or other services.

We do not control or endorse third-party websites or services and are not responsible for their content, security, availability, terms, policies, pricing, or performance. Your use of third-party resources is at your own risk and subject to their terms and policies.

14) Accuracy; Availability; Changes

We work to provide accurate product information, pricing, specifications, lead times, and availability, but errors may occur. Product images, measurements, colors, wattages, lumen outputs, certifications, and other specifications may vary by model, supplier, production batch, or manufacturer update.

We reserve the right to correct errors, update information, change pricing, revise product details, or discontinue products at any time without notice.

We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free.

15) Product Installation & Customer Responsibility

Customers are responsible for confirming that products are suitable for their intended use before purchase and installation.

Installation should be performed by qualified and licensed professionals when required. This includes electrical wiring, pole installation, structural mounting, trenching, permitting, grounding, load calculations, wind-load considerations, and compliance with local codes.

LED Lights Unlimited is not responsible for improper installation, misuse, unauthorized modifications, incorrect wiring, insufficient structural support, code violations, or damage caused by installers or third parties.

16) Shipping, Delivery & Freight

Shipping times, delivery estimates, freight charges, and lead times are estimates only and are not guaranteed unless expressly agreed in writing.

For freight and large-item deliveries, customers are responsible for inspecting shipments at delivery. Any visible damage, shortage, or missing item should be noted on the delivery receipt before signing.

Failure to inspect and report freight damage in a timely manner may affect your ability to file a claim. LED Lights Unlimited is not responsible for carrier delays, missed delivery appointments, weather delays, freight damage not properly documented, or customer-provided incorrect delivery information.

17) Warranty Disclaimer

Some products may include manufacturer warranties or LED Lights Unlimited warranty terms. Warranty coverage varies by product and may be subject to exclusions, documentation requirements, proper installation, approved operating conditions, and manufacturer review.

Unless otherwise stated in writing, warranty coverage does not include labor, lift rental, bucket truck costs, electrician fees, removal, reinstallation, lost profits, business interruption, or incidental/consequential damages.

18) General Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT, PRODUCT INFORMATION, AND ONLINE FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF VIRUSES, OR THAT ANY DEFECTS WILL BE CORRECTED.

19) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LED LIGHTS UNLIMITED, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, MANUFACTURERS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOSS OF DATA; BUSINESS INTERRUPTION; PROJECT DELAYS; LABOR COSTS; INSTALLATION COSTS; OR COSTS OF SUBSTITUTE PRODUCTS OR SERVICES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, PRODUCTS, SERVICES, OR THIRD-PARTY PROVIDERS.

TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY FOR DIRECT DAMAGES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO LED LIGHTS UNLIMITED FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR $100 IF NO PURCHASE WAS MADE.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

20) Indemnification

You agree to defend, indemnify, and hold harmless LED Lights Unlimited, LLC and its owners, officers, employees, agents, suppliers, manufacturers, contractors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the Site;
Your User Content;
Your violation of these Terms;
Your misuse or improper installation of products;
Your project site conditions;
Your violation of law, code, permit, or regulation;
Your interactions with third-party installers, electricians, contractors, freight carriers, suppliers, or service providers.

21) Governing Law; Venue

These Terms and your use of the Site are governed by the laws of the State of Texas, without regard to conflict-of-law rules, and by applicable federal law.

Any legal action or proceeding not subject to arbitration shall be brought in the state or federal courts located in Harris County, Texas, unless otherwise required by law.

22) Dispute Resolution — Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. It requires binding individual arbitration of disputes and a waiver of class actions.

(a) Informal Resolution

Before filing a claim, the party seeking relief must send the other party a written notice describing the dispute and requested relief.

The parties will attempt in good faith to resolve the dispute within 30 days.

(b) Agreement to Arbitrate

If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to the Site, these Terms, products, quotes, purchases, communications, or services will be resolved by binding arbitration on an individual basis.

Arbitration shall take place in Harris County, Texas, or by video/teleconference if reasonably permitted by the arbitrator.

(c) Class Action Waiver

No class actions, class arbitrations, collective actions, or representative actions are permitted. The arbitrator may award relief only to the individual party and only to the extent necessary to resolve that party’s individual claim.

(d) Carve-Outs

Either party may bring an individual claim in small claims court where permitted, or seek injunctive relief in court to protect intellectual property, prevent unauthorized access, stop misuse of the Site, or address non-payment.

(e) Fees & Award

The arbitrator may award fees and costs to the prevailing party where authorized by applicable law. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

This section is governed by the Federal Arbitration Act.

23) Modifications to the Terms

We may update these Terms from time to time. Changes are effective when posted on the Site with a new “Last updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

24) Termination

We may suspend or terminate access to the Site, in whole or in part, at any time, with or without notice, for any reason.

Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, arbitration, and miscellaneous provisions, will survive termination.

25) Export & Sanctions

You may not use, purchase, export, or re-export products or services from LED Lights Unlimited in violation of U.S. export laws, sanctions, or trade restrictions.

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. government sanctions or restrictions.

26) Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any written quote, invoice, purchase agreement, or warranty terms, form the agreement between you and LED Lights Unlimited regarding the Site and related services.

Severability

If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.

No Waiver

Our failure to enforce any provision is not a waiver of our rights.

Assignment

You may not assign these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.
